James E. Goodwin

JAMES E. GOODWIN was elected to serve as one of our directors effective as of the spin-off date. Mr. Goodwin served as Chairman and
Chief Executive Officer of UAL Corporation and United Airlines from March 1999 until his retirement on October 31, 2001. Mr. Goodwin
served as President and Chief Operating Officer of UAL Corporation and United Airlines from 1998 to 1999. During his career with UAL
Corporation and United Airlines, Mr. Goodwin became Senior Vice President—Marketing in 1985, Senior Vice President- Services in 1988, Senior Vice President—Maintenance Operations in 1991, Senior Vice President—International in 1992 and Senior Vice President—North America in 1995.

Mr. Goodwin serves on the Boards of Directors of AAR Corporation, Federal Signal Corporation and First Chicago Bank Corporation, as well as the Advisory Board of Hu-Friedy, the Board of Trustees of the Chicago Symphony Orchestra and Lewis University and is a member of The Council of Retired Chief Executives.
